Terms of Service

This is the public Terms of Service. The PDF version, signed by Kaito, is available on request to legal@kaito.io.

1. The agreement

These Terms of Service ("Terms") govern your access to and use of the services provided by Kaito Labs Ltd. ("Kaito," "we," "us"). By creating an account or otherwise using the Service, you agree to these Terms.

2. The service

Kaito provides a hosted platform for sharing 2FA codes, receiving SMS verification messages, and managing related team access. Features available to you depend on your subscription plan.

3. Accounts and MFA

You are responsible for maintaining the security of your account credentials. We require multi-factor authentication for all accounts and may decline to operate accounts that disable it.

4. Fees, billing, and taxes

Fees are listed on our pricing page and are billed in advance per the terms of your selected plan. Taxes, where applicable, are charged in addition.

5. Free trials

Trials are provided for evaluation purposes only. Production data created during a trial is retained per Section 12 (Term and Termination).

6. Customer data ownership

You own your customer data. We are a processor under GDPR and an equivalent role under similar regimes. See our DPA for the specific commitments.

7. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy. We may suspend accounts that violate it.

8. Intellectual property

We retain all rights in the Service and our software. You retain all rights in the data you upload.

9. Confidentiality

Each party will protect the other's confidential information using the same care it uses for its own.

10. Warranties and disclaimers

We provide the Service with commercially reasonable care. Except as expressly provided, the Service is provided "as is" without warranties of any kind.

11. Limitation of liability

Subject to applicable law, our aggregate liability arising under these Terms is limited to the fees paid by you in the twelve months preceding the claim.

12. Term and termination

These Terms continue while you have an active account. Either party may terminate for material breach with 30 days' notice if the breach is uncured. On termination, you may export your data for 30 days. After 30 days, data is cryptographically shredded.

13. Governing law

These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws principles. Disputes are subject to the exclusive jurisdiction of the courts of England.

14. Changes to these Terms

We may update these Terms. Material changes are announced at least 30 days in advance via email and on this page. Continued use after the effective date constitutes acceptance.
